Care Plan for One Website – Shields Dental & Implant Clinic

AUTHORISATION
1. You are engaging Insignis Web as an independent contractor to perform work as described in the package(s) or service(s) you have purchased. You hereby grant Insignis Web “write permissions” to all directories, files & settings in your hosting and domain registration accounts, as well as permission to install any necessary WordPress plugins for maintenance and security.
2. You give Insignis Web permission to communicate directly with any third parties, e.g. your web hosting provider, previous web designer, suppliers/associates (for backlink requests) etc if necessary. Specific third parties will be agreed in advance with the client.

COPYRIGHT
Insignis Web does not assume any responsibility or liability for the content of the websites it manages, maintains and/or hosts.

PRICING & PAYMENTS
There is no long term contract, the contract runs from month-to-month only and you can cancel your subscription at any time. All prices appearing on this site are subject to change and you will be notified of this change prior to your next auto-renewal payment.

CANCELLATION & REFUNDS
Cancellation of any monthly recurring service can occur at any time after your first 1 month (30 days) of service. No monthly refunds are available after you have made a monthly payment, except on the day of payment because maintenance work for the month may have already been carried out. In order to cancel your recurring payment or change payment method, simply contact Insignis Web prior to your payment’s due date.

REFUSAL OF SERVICE
Insignis Web reserves the right to refuse service to any website that contains offensive, obscene, hateful, malicious content or for any other reason.

THIRD PARTY OR CLIENT PAGE MODIFICATIONS
With a WordPress website, the client may independently edit or update his or her web pages after completion of the site, but must inform Insignis Web of this in advance.

If anyone other than Insignis Web attempts to update the website and damages the design or impairs the ability for the web pages to display or function properly, time to repair the web pages will be assessed at an hourly rate of €60 + VAT beyond the time allotted in the monthly care plan. There is a one-hour minimum.

COMMERCIAL PLUGINS
We will be using the following commercial WordPress plugins on your website:
- WP Rocket
- Yoast SEO Premium
- Shortpixel

We have purchased an annual 'developer license' for these plugins, which means the plugins will be licensed to Insignis Web. Should you decide not to renew your website care subscription, we reserve the right to rescind/revoke/cancel our developer licensing on your website. In this eventuality the plugins will remain active and working on the website, but without a valid license they can not be updated to the latest version. You can however, obtain these licenses for yourself directly if required, or use a new web developer's licensing.

SUPPORT
We offer email and phone support as part of all packages. This support can be questions relating to how the website works or general questions relating to digital marketing. Please refer to section “THIRD PARTY OR CLIENT PAGE MODIFICATION” for details regarding repair of webpages as this will not be covered under ‘Support’.



LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES
Although there are limitations to the guarantees we can provide, your satisfaction is very important to us. Please read and understand our limits of liability before ordering services.

Insignis Web will perform specific checks after each update of the software (theme, plugins and Wordpress core files) to ensure that the website looks and is performing as it should, however, Insignis Web does not guarantee, represent or warrant that the operation of the website will be completely uninterrupted or error-free. Insignis Web will ensure to correct any errors as soon as they are observed.

Third party plugins used on the site will be updated periodically as per the website care plan. If a plugin ceases to be updated by the developer in line with Wordpress core updates, an effort will be made to source, upload and configure an equivalent plugin from the Wordpress Repository (free). Normally, this work will be covered by our agreement, however, if it is proving difficult to source an alternative plugin, we may need to charge per hour (€60 + VAT) for our time but this will be discussed and agreed in advance. Also, the cost of purchasing any premium plugins shall be borne by the client and this shall be agreed prior to making the purchase.

To the extent not prohibited by law, in no event will Insignis Web be liable to the client or any third party for any damages, including, but not limited to, any lost profits, lost savings, loss of data, business interruption, or incidental, consequential or special damages arising out of the operation of, or inability to operate these webpages or website, however caused.

Insignis Web does not represent, guarantee or warrant that the functions contained in these webpages or Internet website will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusions and Insignis Web disclaims any liability relating thereto. Insignis Web will do all in their power to protect the website from attack (and will report on this on a monthly basis). In the unlikely case that the website becomes compromised, Insignis Web will investigate the type of attack and do all possible to identify and eliminate the issue. However, in the event that outside support is required, it will be agreed in advance with the client and the client will be liable for the associated costs.

Insignis Web is not responsible for issues arising from other websites either hosted on the same account (with the same FTP access) as the client’s website or sharing a database with the client’s website, which are not being maintained by Insignis Web.

This Work Statement Agreement is governed by the laws of Ireland without giving effect to its conflict of laws provision. You expressly agree that exclusive jurisdiction for any claim or dispute with Insignis Web or relating in any way to your use of the created webpages or Internet website resides in the courts of Ireland.

The client agrees to inform Insignis Web in advance of uploading a new plugin to the site, changing the theme or performing any changes to the site files or database. If such changes affect the operation of the website, Insignis Web will not be responsible and will charge an hourly rate of €60 + VAT to fix the issue(s).

ACCEPTANCE
Please note that by submitting your payment, you are agreeing to all of our terms of service as they are written here. Insignis Web reserves the right to change or update these terms at any time with prior notice. The signatory of this document agrees to the terms of this agreement on behalf of his or her organisation or business. This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.
